IAAF CONTRACT OF ATHLETE AND AGENT

甲方（运动员）姓名、国籍、护照号、国际田联运动员注册号和地址：

双方共同遵守以下条款：Parties hereto shall comply with the following provisions:

一、代理关系 Article One Agency

运动员委托其代理人以他的名义在本合同规定的条款和条件下行使权利。代理人除有权行使本协议涉及的或与运动员书面协议的内容外，不得超越代理权限行为。

An athlete entrusts his agent to exercise his rights on his behalf as per the terms and conditions set forth herein. The agent shall not exceed the authority except for the right to exercise the same stipulated herein or the contents in the written agreement with the athlete.

二、代理期间 Article Two Terms

1. 代理人受委托时限为一年，截至签约当年的12月31日。

The time limit for being entrusted is one year, up to December 31 of the year of the signing contract.

2. 如果代理人与国家联合会之间的合同因任何原因终止，代理人与运动员的合同即不再有效。

The contract between agent and athlete shall cease to be valid where the contract between agent and State’s Federation is terminated due to any reason.

3. 本合同到期后如果双方均有意续约，应在前协议到期前1个月发出书面续约通知。

Wher parties hereto intend to renew the agreement after expiration of this agreement, a written renewal notice shall be issued one months before the expiry hereof.

三、代理权限Article Three Delegated Authority

注：代理权限由谈判而定。很多情况下，运动员不只希望代理人仅仅是安排其竞赛日程，而是要求代理人兼顾其他方面，提供综合服务。

Note: agency authority is subject to negotiation. In many cases, athlete desires his agent not only to arrange competition schedule but also other matters include provision of integrated services.

1. 代理人被授权安排运动员的比赛，包括运动员参赛费用的协商和谈判。

Agents are authorized to arrange competitions for athlete, including inter alia, agreement and negotiation on athletes’ participation costs.

2. 代理人有权与赞助商进行谈判并最终代表运动员签订相关合同。

Agents have the right to negotiate with sponsor and eventually sign the related contract on behalf of athlete.

3. 代理人从运动员利益出发，可采取任何有效措施，发现和调查新的商业机会。

Agents may, for the purpose of athlete’s interests, take any effective measures to find and investigate new commercial opportunities.

4. 代理人不得越权行使委托权，在没有事先获得运动员同意的情况下，不能签订任何商业协议。

Agent shall not exercise ultra vires delegated power and can not sign any commercial agreement without the prior consent of the athlete.

5. 代理人经运动员书面同意后可以代为运动员处理财务事务，但处理的资金应当严格记帐并符合国际田联和国家联合会的有关规]

Agent may, with the written consent of athlete, handle financial affairs on behalf of the athlet, however, the handled funds shall be strictly accounted and financial process thereof shall conform to the regulations of IAAF and State’s federation.

四、代理费用 Article Four Agent Fees

在遵守国际田联有关运动员代理人的管理条例下，由运动员与代理人共同协商确定代理费用，商定后的金额应明确写入协议中去。收费标准遵守国家协会的有关规定。

The agent fees will, in compliance with the regulations of IAAF on the management of athletes’ agent, be jointly negotiated between athlete and agent, the agreed amount shall be stipulated definitely in the agreement and standard of fees shall be subject to the relevent regulation of State’s federation.

五、代理人工作成本 Article Five Agent’s Costs

1. 代理人负责所有正常支出的工作费用，包括租用办公室、电话和邮费和其他处理有关运动员事务的开支。上述费用从代理费中开支，不得由运动员另行负担。

The costs for normal working will be for the account of agent, include inter alia, the costs of office rental, telephone, mail and other expenses of handling ethlete’s affairs. The aforesaid expenses shall not be born separately by the athlete.

2. 如果代理人开支的费用涉及到运动员个人的开支，如差旅、住宿、生活费等，由运动员在收到费用支出收据的21天内支付给代理人。

Provided that the expenses incurred by the agent relate to the personal expenses of the athlete, such as travel, accommodation, living expenses, etc., which shall be paid to agent by athlete within 21 days upon receipt of invoice thereon.

六、代理人义务 Article Six Agent’s Obligatiion

代理人的义务如下所述：Agent’s Obligatiion as following :

1. 有足够的知识和技能履行代理合同，同时有强烈的责任心；

Have sufficient knowledge and skills to fulfill the agency contract, in addition to? have a strong sense of responsibility;

2. 掌握运动赛程安排，与运动员的教练、所在俱乐部、国家联合会共同协商和制定该运动员的竞赛安排；

know well the schedule of the competetion event, participate joint negotiation with the athlete’s coach, the club and the State federation and make the competition arrangement for the athlete;

3. 遵守国际田联和国家联合会的章程及有关条例；

To abide by the constitution and regulations of IAAF and State’s federations;

4. 在运动员授权范围内行使权利，让运动员及时、全面地了解代理人所从事的商业活动和各项安排；代理人不得影响其运动训练和参加比赛；

To exercise the rights to the extent of athlets’s authority and make athlete available to knowlege of timely and roundly the commercial activities and arrangements of agent; agent shall not affect athelet’s training and participation in competion ;

5. 代理运动员收回所有合同的款项，及时支付所有协议费用。

To recover all contract payments on behalf of athelet and effect payment of all agreement fees timely.

七、运动员义务 Article Seven Athelete’s Obligation

运动员必须履行以下义务：Athletes should perform the following obligations:

1. 让代理人了解其竞赛安排及其商业兴趣和投资意向；

To make agent available to have knowledge of athelete’s competetion arrangement, commercial interest and investment intention；

2. 参加代理人为其安排的比赛或公众活动，除非因为伤病或发生意外情况；

To participate in the competition or public activities which arranged for him by agent, unless otherwise injury, illness or accident;

3. 运动员应当依合同要求参加代理人谈判决定的推广活动；

Athletes shall, as per contract’s requirement, participate in the promotional activities which are decided by agent’s negotiation.

4. 遵守国际田联和国家联合会有关代理人的规定；

To comply with the provisions concerning agents of the IAAF and State federation;

5. 及时支付协议中所约定的费用；To effect payment of fees which stipulated in the agreement;

6. 参加国家联合会及国际田联指定的比赛，包括：

To participate in the competetions designated by State federation and IAAF, including, inter alia:

a. 地区锦标赛 Zone championship

b. 室外锦标赛 Outdoor championship

c. 世界杯赛 World cup game

d. 奥运会 Olympic games

7. 了解运动赛程安排，主动与教练、所在俱乐部、国家联合会协商和制定本人的竞赛安排。

To have knowledge of the competetion schedule, actively negotiate with coach, club, State federation and make his own competition arrangements.

八、保密 Article Eight Confidentiality

1. 代理人应当对所有关于运动员的事务保密，不论是正在为该运动员做代理，或已经结束与运动员的委托合同，除非运动员授权揭露事实。

The agent shall keep confidential all matters relating to the athlete, whether acting on behalf of the athlete or having terminated the contract with the athlete, unless authorized by the athlete to disclose the facts.

2. 如果代理人向国家联合会或国际田联揭露运动员资格问题或其服用违禁药物的事实，则不属于违反了以上第1款的规定。

It would not be deemed as violation of above article one provided that if agent disclose the facts oncerning the athlete’s qualification or taking prohibited drugs to State federation or IAAF.

九、保证和承诺 Article Nine Guarantee and Promise

1. 代理人应当向运动员保证并承诺，其拥有运动员所属国家联合会及国际田联的代理人资格。

The agent shall assure and pledge to the athlete that he has the qualification of agent in State federation and IAAF.

2. 运动员必须向代理人保证并承诺，代理人是该运动员的唯一委托方。在本协议到期之前，运动员不能委托其他人从事其代理。

The athelete should assure and pledge to the agent that the agent is his only and sole agent and the athelete cannot entrust other party to engage in his agent before the exipration hereof.

十、终止 Article Ten Termination

在下列情况下任何一方可终止本合同：

This contract may be terminated by any party in following case:

1. 代理人的执照被运动员所在国家联合会撤销；

The license of the agent is revoked by the State federation of the athletes;

2. 代理人宣告破产；The agent declares bankruptcy;

3. 其中一方严重违反协议规定并给对方造成利益损害；

One of the parties seriously violates the provisions hereof and causes damage to the interests of the other party;

4. 一方向另一方提前3个月发出书面通知，表明要终止合同的理由和意愿。

One party gives other party a three month prior notice to express his reason and intention to terminate the contract.

十一、争议和仲裁 Article Eleven Dispute and Arbitration

在发生与合同有关的争议时，双方应当按照运动员所属国家联合会现行有效的条例的程序提出申诉。如果申诉无果，任何一方可以向国际田联仲裁小组提出仲裁申请。国际田联的仲裁决定将对双方产生约束力，并成为最终决定。

Any dispute arising out of or relating to this contract should, in accordance with the procedure stipulated in the existing regulation of the State federation in the country of the ethlete, be lodged a complaint by the parties hereto. Where the complaint fail to settle, either party may file an application of arbitration to the panel of IAAF. The arbitration decision of IAAF shall be binding upon both parties and shall be final.
